Constitution, governing and competences::

  • The APAF General Assembly is constitued by all the effective members of the Association who have their quotas regularized
  • To the meetings of the General Assembly may also attend, without voting rights, the honorary members and the corresponding members
  • Until the 31st of March of each year, the Annual General Meeting of APAF will meet, which will deal, namely, with the appraisal and approval of the Report, Balance and Accounts of the Board of Directors and the Report of the Supervisory Board.
  • The General Assembly will meet extraordinarily at any time, whenever called by the President of the Board, at the request of the Board of Directors, the Supervisory Board or twenty percent of the registered effective associates
  • The General Assembly is considered to be constituted and may validly deliberate, on first call, provided that at least 51% of the registered effective members are present
  • In the absence of a quorum at the first meeting, the Assembly meets on second call after 30m after the time defined in the first call, and may validly deliberate with any number of members present
  • Deliberations are taken by an absolute majority of votes of the current members present, except on the matter of amending the bylaws (requires a favorable vote of ¾ of the number of effective members present) and on the dissolution or extension of the Association (requires a favorable vote of ¾ of the number of all effective members)
  • The effective members present in the General Assembly will elect from among themselves a Board of the General Assembly that will be composed of a President, two secretaries and two alternate members
  • The members of the Board of the General Assembly will be elected for a period of 3 years and may be re-elected, 1 or more times, at the end of the term
  • It is incumbent upon the President of the Board of the General Assembly to convene the meetings of the General Assembly of members, direct and guide the work of each meeting, decide on the rules and voting system, at each meeting, draw up, with the collaboration of the respective secretaries, the minutes of each meeting
